Bought co. with 60% interest in Northern Lights mineable oil-sands project.

Total E&P Canada Ltd., Calgary, a subsidiary of Total SA, (Paris: TOTF) has completed its acquisition of Synenco Energy Inc., Calgary, (Toronto: SYN) for approximately C$541 million. Total has acquired some 94% of the issued and outstanding common shares and will purchase all remaining shares under compulsory acquisition provisions. Total paid C$10.25 in cash per Synenco share, representing a 39% premium to the 30-day volume-weighted average price through April 25 of $7.35 per share. Total previously offered C$9 per share, representing a 22% premium and a total deal value of approximately C$478 million. Synenco holdings include a 60% interest of the Northern Lights Partnership and operator of the Northern Lights mineable oil-sands project 100 kilometers northeast of Fort McMurray, Alberta. It also holds 100% interest in the McClelland oil-sands lease adjacent to the Northern Lights project. All Synenco board members will be replaced with the nominees of Total Canada. TD Securities Inc. and Merrill Lynch Canada Inc. are advisors to Synenco.
