• Universal Compression Holdings Inc., Houston, has purchased KCI Inc., Tulsa, Okla., for approximately $26.3 million in cash and 694,927 shares of Universal common stock. Universal also paid KCI's approximately $51 million of debt. KCI was advised in the transaction by East Side Advisors Inc. • Fugro Airbourne Surveys has acquired Marsco Inc., Houston. Fugro will receive geotechnical engineers, laboratory testing technicians, instrumentation and electronics specialists and drilling and exploration personnel in the acquisition. • Ipec Ltd., Calgary, plans to acquire Delta Pipeline Ltd., a subsidiary of Badger Daylighting Inc., Calgary, for C$8.1 million, consisting of approximately C$1.4 million of cash and the assumption of C$6.7 million of debt.The divestiture will allow Badger to focus on its core business of daylighting with a particular emphasis on developing its operations in the U.S. • Willbros Group Inc., Houston, has acquired MSI Energy Services Inc. for about C$13 million. Willbros offered C$0.95 per MSI common share and C$0.05 per MSI Class C share. • Wellco Energy Services Inc., Calgary, plans to buy Altex Oilfield Equipment Ltd., a private Calgary manufacturer of proprietary flare-tank systems. The flare-tank system is used in gas drilling and production. Wellco will acquire Altex's inventory of flare-tank systems, which it will then rent to Wellco clientele. The deal, along with Wellco's recent acquisition of Eco Tech Water Systems Ltd., total a C$2-million expansion to Wellco's environmental services division.
