EPCOR USA Inc. agreed to sell Texas gas utility and transmission assets located in the Houston area, the company said May 5.
SiEnergy Operating, a subsidiary of publicly traded Northwest Natural Holding Co., will acquire the assets for $60 million. The deal is expected to close in second-quarter 2025.
The acquisition includes 100% of EPCOR’s interest in Hughes Gas Resources Inc., which serves approximately 6,900 meters across 12 communities northeast of Houston, the companies said. The deal also includes 353 miles of pipeline.
EPCOR Texas Gas has owned the assets since 2017.
“Today’s announcement reflects a strategic decision by EPCOR USA to focus growth plans in Texas on water opportunities,” said John Elford, president and CEO of EPCOR Utilities. “Our natural gas customers and operations teams will also benefit from SiEnergy’s scale and experience as a natural gas utility operator, and we look forward to working together to facilitate a seamless transition of service.”
Portland, Oregon-based Northwest Natural Holdings owns Northwest Gas Co., NW Natural Water Co., NW Natural Renewables Holdings and other energy-related interests.
